MouthMatch Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," "User," "Patient," or "Provider") and Martello Systems LLC ("Martello Systems," "Company," "we," "us," or "our"), the operator of MouthMatch, available at mouthmatch.app and related subdomains, applications, and services (collectively, the "Service").

Please read these Terms carefully. Section 5 (Informational Directory / No Dental or Medical Advice), Section 11 (Disclaimers of Warranties), Section 12 (Limitation of Liability), and Section 16 (Governing Law & Dispute Resolution, including a binding arbitration provision and class-action waiver) are especially important and affect your legal rights.

1. Agreement to Terms

By accessing or using the Service, browsing listings, submitting a match request, claiming a provider profile, creating an account, starting a subscription, or clicking to accept these Terms, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not access or use the Service.

If you are using the Service on behalf of a dental practice, business, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

We may update these Terms from time to time as described in Section 15. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

2. Description of Service

MouthMatch is an online directory and matching tool that helps people find dentists and dental specialists by city, and helps dental providers improve how they are found by patients and AI-powered search ("answer-engine optimization"). The Service may, among other things:

  • Aggregate and display provider listings sourced from the public NPPES / NPI Registry and other public sources, organized by metro and by service type (general dentistry, dental implants, orthodontics, oral surgery, periodontics, endodontics, prosthodontics, pediatric dentistry, and others);
  • Display informational service descriptions and general, pre-insurance cost ranges to help patients compare and plan;
  • Let patients submit a free "get matched" request so we can connect them with a relevant provider;
  • Let dental providers claim and enrich their listing — adding services offered, pricing, hours, credentials, validators, and reviews they supply;
  • Offer providers a paid subscription that generates structured data, an `llms.txt` file, and robots/AEO assets to help their own website be found by patients and AI search tools.

The Service is an informational directory and matching tool only. We are not a dental practice, do not provide treatment, do not employ or supervise any listed provider, and do not guarantee any appointment, treatment, price, or outcome. See Sections 5 and 6.

We may add, modify, suspend, or discontinue features at any time. The features available to you may depend on your role (patient or provider) and your subscription plan.

3. Eligibility & Accounts

  • Eligibility. You must be at least 18 years old and capable of forming a binding contract to use the Service, or use it under the supervision of a parent or guardian. The Service is intended for use in the United States.
  • Account registration. Provider features require an account with accurate, current, and complete information. Patients may submit a match request without creating an account.
  • Account security. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Account sign-in is provided through MartelloAuth, our identity service. Notify us promptly at support@mouthmatch.app if you suspect unauthorized use of your account.
  • Accuracy of your information. Providers are responsible for the accuracy of all profile, service, pricing, credential, and contact information they enter or claim. Patients are responsible for the accuracy of the contact details they submit in a match request.

4. Subscriptions, Billing & Payments (Providers)

  • Provider subscriptions. Certain provider features are offered on a paid subscription basis (for example, an annual plan). Pricing and billing terms are shown at the point of purchase.
  • Auto-renewal. Unless otherwise stated at checkout, paid subscriptions automatically renew at the end of each billing period, and your payment method will be charged the then-current fee until you cancel.
  • Payment processing via Stripe. All payments are processed by our third-party payment processor, Stripe, Inc. By providing a payment method, you authorize us and Stripe to charge that method for all fees due. We do not store your full payment card numbers; see our Privacy Policy.
  • Pricing and taxes. Prices are stated in U.S. dollars and exclusive of applicable taxes unless stated otherwise. We may change prices, and we will provide notice before a change takes effect, typically applying at your next renewal. You are responsible for any applicable taxes.
  • Cancellation. You may cancel at any time through your account or by contacting support@mouthmatch.app. Cancellation takes effect at the end of your then-current billing period, and you retain access to paid features until then.
  • No refunds for partial periods. Except where required by applicable law, all fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or features not used. Cancelling stops future charges but does not refund the current period.
  • Failed payments. If a charge fails, we may retry it and may suspend or terminate access to paid features until payment is successfully processed.

Patients never pay to search the directory, compare providers, or get matched — those features are free.

5. Informational Directory / No Dental or Medical Advice

IMPORTANT — PLEASE READ CAREFULLY. MouthMatch is an informational directory and matching service. It is NOT a dental practice, NOT a medical provider, NOT a licensing or accrediting authority, and NOT a substitute for professional dental, medical, or other advice. A listing on MouthMatch does NOT mean we recommend, endorse, vouch for, are affiliated with, or have verified any provider. Nothing in the Service is dental, medical, or professional advice, and using the Service does not create any provider–patient relationship with us.

Provider listings, service descriptions, credentials, validators, reviews, hours, and cost ranges shown in the Service are aggregated from public sources (such as the NPPES / NPI Registry) and from information that providers themselves supply. This information may be incomplete, outdated, inaccurate, or inapplicable to your situation. Cost ranges are general, pre-insurance U.S. estimates that vary widely by case, provider, insurance, and location, and are not quotes.

You must independently verify any provider's license, credentials, services, availability, and pricing directly with the provider, and where appropriate confirm licensure with the relevant state dental board, before relying on any listing or seeking treatment. Choosing and evaluating a dentist is your decision. For any health concern, consult a qualified, licensed dental or medical professional.

A match or connection through MouthMatch is an introduction only. It does not guarantee that a provider is appropriate for you, available, accepting patients, in-network, or that any particular price or outcome will apply.

6. Listings, Provider Content & Responsibility

  • No guarantee of accuracy or endorsement. We make reasonable efforts to compile useful directory information, but we do not warrant that any listing, credential, validator, review, price, or other data displayed is accurate, current, complete, or applicable. Inclusion is not an endorsement, certification, or recommendation.
  • Provider-supplied content. Providers who claim a listing are solely responsible for the accuracy and legality of the content they submit, including service descriptions, pricing, credentials, validators, and reviews. Providers represent that they have the right to submit such content, that any reviews and credentials are genuine, and that their content is not false, misleading, or unlawful. Providers must comply with all applicable laws and professional and advertising rules governing dental practice and marketing.
  • Public-registry data. Listings derived from the NPPES / NPI Registry reflect third-party public data that may contain errors, omissions, or outdated entries. A listing does not confirm a provider's current licensure or status.
  • You remain responsible. You — not MouthMatch — are solely responsible for your decision to contact, evaluate, or seek treatment from any provider, and for verifying all information directly with the provider and the appropriate authorities.
  • No liability for provider interactions. To the maximum extent permitted by law, MouthMatch and Martello Systems LLC are not responsible or liable for any act, omission, advice, treatment, billing, pricing, conduct, or outcome of any provider listed or matched through the Service, nor for any reliance on any listing or information in the Service.
  • Report errors / removal requests. If you believe a listing is inaccurate, or you are a provider who wishes to correct or request removal of your listing, contact support@mouthmatch.app. We may correct or remove it but are under no obligation to do so and assume no liability for any error.

7. Acceptable Use

You agree not to, and not to permit anyone else to:

  • Use the Service for any unlawful, fraudulent, or deceptive purpose, or in violation of any applicable law or professional/advertising rule;
  • Submit false, misleading, fabricated, or infringing listings, reviews, credentials, or other content;
  • Submit a match request on behalf of someone who has not authorized it, or provide contact details you are not permitted to provide;
  • Access, scrape, harvest, or copy the Service's data or compiled listings except as expressly permitted, or use automated means without our written permission;
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except where such restriction is prohibited by law;
  • Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or other users' accounts;
  • Introduce malware or engage in any denial-of-service or similar activity;
  • Resell, sublicense, rent, or otherwise commercially exploit the Service or its data without our written permission.

We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for any suspected violation.

8. Third-Party Services

The Service relies on and references third-party services, including the public NPPES / NPI Registry, our payment processor (Stripe), our identity provider (MartelloAuth), our hosting and database infrastructure, and analytics tools. We do not control and are not responsible for the availability, accuracy, content, or practices of any third-party service or any third-party website you reach through a listing. References to or integrations with third parties do not imply endorsement or affiliation. We are not affiliated with, sponsored by, or endorsed by any listed dental provider, practice, professional association, or government registry.

9. Communications Consent

By creating a provider account or submitting a match request, you consent to receive transactional and service-related communications from us by email — such as account, billing, security, and match-related notices, and changes to the Service or these Terms. We do not operate an SMS/text-message program. You may opt out of non-essential email through the unsubscribe link or by contacting support@mouthmatch.app, though we may still send essential transactional messages relating to your account or request.

10. Intellectual Property

  • Our rights. The Service, including its software, design, text, graphics, logos, the MouthMatch name and brand, and all compiled and aggregated content (excluding provider-supplied content and public-registry data), is owned by Martello Systems LLC or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.
  • Provider content & generated assets. Providers retain ownership of the original content they submit and grant us a worldwide, non-exclusive license to host, display, adapt, and use it to operate and promote the Service and the provider's own listing, and to generate the structured-data, `llms.txt`, and AEO assets described in Section 2. We grant subscribing providers a license to use the AEO assets we generate for them on their own website.
  • Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

11. Disclaimers of Warranties

THE SERVICE AND ALL LISTINGS, DESCRIPTIONS, CREDENTIALS, REVIEWS, COST RANGES, MATCHES, AND GENERATED ASSETS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the maximum extent permitted by applicable law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Without limiting the foregoing, we do not warrant that: any listing, credential, review, price, or other data is accurate, current, complete, or applicable to your situation; any provider is licensed, qualified, available, or appropriate for you; the Service will be uninterrupted, timely, secure, or error-free; any match will result in an appointment or treatment; or the Service will meet your requirements or achieve any particular result. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MARTELLO SYSTEMS LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY PERSONAL INJURY, TREATMENT, BILLING, OR OUTCOME ARISING FROM YOUR INTERACTION WITH ANY PROVIDER, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limitations form an essential basis of the bargain between you and us. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Martello Systems LLC and its owners, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any content you submit, including provider listings, reviews, and credentials; (c) your interactions with, or treatment by, any provider or patient; (d) your violation of these Terms or any law or third-party right; or (e) any communications you authorized us to send.

14. Termination

  • By you. You may stop using the Service and cancel any subscription at any time as described in Section 4.
  • By us. We may suspend or terminate your access or remove any listing or content at any time, with or without notice, if we believe you have violated these Terms, if required by law, to protect the Service or other users, or for any other reason in our discretion.
  • Effect of termination. Upon termination, your right to use the Service ends. We may delete your account data and content after a reasonable period in accordance with our Privacy Policy and applicable law. Sections that by their nature should survive — including 5, 6, 10, 11, 12, 13, 16, and 17 — survive termination.

15. Changes to Terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date and may provide additional notice. Changes are effective when posted unless stated otherwise. Your continued use after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.

16. Governing Law & Dispute Resolution

  • Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the state in which Martello Systems LLC is organized and applicable U.S. federal law, without regard to conflict-of-laws principles.
  • Informal resolution first. Before filing any claim, you agree to first contact us at support@mouthmatch.app and attempt in good faith to resolve the dispute informally for at least 30 days.
  • Binding arbitration. If we cannot resolve a dispute informally, you and we agree that any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by a recognized arbitration provider under its applicable rules, rather than in court, except as provided below. Judgment on the award may be entered in any court of competent jurisdiction.
  • Class-action waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
  • Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief to protect its intellectual property or confidential information.
  • Opt-out of arbitration. You may opt out of this arbitration agreement by sending written notice to support@mouthmatch.app within 30 days of first accepting these Terms.
  • Time to file. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.
